These Terms of Service ("Terms") constitute a legally binding agreement between you and kinapse.ai, Inc. ("kinapse.ai", "we", "us", or "our") regarding your use of the kinapse.ai platform and services.

By creating an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

kinapse.ai provides an AI-powered platform for conducting synthetic focus groups and market research. Our service allows users to:

• Create and manage marketing campaigns
• Run AI-simulated focus group sessions with synthetic participants
• Analyze consumer feedback and sentiment
• Generate insights and professional reports
• Access various AI models and personas for testing

3.1 Eligibility: You must be at least 18 years old and have the legal capacity to enter into binding contracts to use kinapse.ai.

3.2 Account Creation: You must provide accurate, current, and complete information during registration and keep your account information updated.

3.3 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.4 One Account Per User: You may only create one account unless expressly authorized by kinapse.ai.

4.1 Subscription Tiers: kinapse.ai offers various subscription plans (Starter, Professional, Enterprise) with different features and pricing.

4.2 Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan.

4.3 Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date.

4.4 Refunds: Refunds are generally not provided for partial subscription periods, except as required by law or at our sole discretion.

4.5 Price Changes: We reserve the right to modify pricing with 30 days advance notice to existing subscribers.

You agree NOT to use kinapse.ai to:

• Violate any applicable laws, regulations, or third-party rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Harass, abuse, or harm others
• Distribute spam or unsolicited communications
• Scrape, copy, or reverse engineer our platform
• Use our service to create misleading or deceptive content
• Resell or redistribute our service without authorization
• Interfere with the proper functioning of the platform

6.1 kinapse.ai Property: All rights, title, and interest in kinapse.ai (including software, algorithms, trademarks, and content) are owned by kinapse.ai, Inc.

6.2 Your Content: You retain ownership of content you upload. By using our service, you grant us a license to process, store, and analyze your content to provide the service.

6.3 AI-Generated Content: Insights and reports generated by our AI are provided to you under a non-exclusive license for your business use.

6.4 Feedback: Any feedback or suggestions you provide may be used by kinapse.ai without obligation to you.

7.1 No Guarantee: While we strive for accuracy, AI-generated insights are simulations and should be used as one input among many in your decision-making process.

7.2 Not Professional Advice: kinapse.ai does not provide professional marketing, legal, or financial advice. Consult appropriate professionals for specific guidance.

7.3 Your Responsibility: You are solely responsible for how you use AI-generated insights and any decisions based on them.

8.1 "AS IS" Service: kinapse.ai is provided "as is" without warranties of any kind, express or implied.

8.2 Service Availability: We do not guarantee uninterrupted or error-free service. Maintenance and updates may cause temporary disruptions.

8.3 Limitation of Liability: To the maximum extent permitted by law, kinapse.ai's total liability shall not exceed the amount you paid in the 12 months preceding the claim.

8.4 No Consequential Damages: We are not liable for indirect, incidental, special, consequential, or punitive damages.

You agree to indemnify and hold harmless kinapse.ai, its affiliates, and employees from any claims, damages, losses, or expenses arising from your use of the service, violation of these Terms, or infringement of any rights of others.

10.1 By You: You may cancel your subscription at any time through your account settings.

10.2 By Us: We may suspend or terminate your account for violation of these Terms, non-payment, or any reason with notice.

10.3 Effect of Termination: Upon termination, your access will cease. You may export your data within 30 days of termination.

We may modify these Terms at any time. Material changes will be notified via email or platform notification. Continued use after changes constitutes acceptance of modified Terms.

12.1 Governing Law: These Terms are governed by the laws of the State of California, USA.

12.2 Arbitration: Any disputes shall be resolved through binding arbitration in San Francisco, California, except for claims involving intellectual property.

12.3 Class Action Waiver: You agree to resolve disputes individually, not as part of a class action.

13.1 Entire Agreement: These Terms constitute the entire agreement between you and kinapse.ai.

13.2 Severability: If any provision is found invalid, the remaining provisions remain in effect.

13.3 Assignment: You may not assign these Terms without our consent. We may assign them freely.

13.4 No Waiver: Failure to enforce any right does not constitute a waiver of that right.
